Hi Glenn,
Had sent you a couple of emails using an old address I had for you. Is this the main address you are using now? I trust Essen was good for you. Just wanted to go though a number items.
Hopefully the potential agreement we discussed at Essen is still on. If anything matters have become more pressing. My ex-partner might be about to lose her job so any money I can give her will be incredibly useful. With regards to a contract I think the best thing is to have a contract between Eagle and myself handled separately from those for any designs such as AoS. Any money due from separate contracts can then be deducted from the amount advanced.
Have been doing some work on Age of Steam. At first I thought it would be best for you to do an exact copy but the more I think about it the better it would be to do a simpler, streamlined version. I figure the easier the game the wider the potential market. I have come up with a new version which contains most of the elements I told you about but re-arranged to reduce book keeping to an absolute minimum. The less there is to forget about doing in a game the better. Hopefully you are still interested in the design and don't have a problem with me doing some development work.
Look forward to hearing from you soon. Martin

HI Martin,
Our attorney is a bit swamped right now with contract work, so it may take a few weeks to get a contract finished. Why don’t you send me a list of the terms that we discussed so that I can forward it to him.
I can forward some cash to you if you are in a crunch.
Played Struggle of Empires on Sunday, but haven’t played Age of steam yet (sorry for the caps, but my keyboard just decided to get difficult).
I would like to do both games in a “premium” version. I think that simplifying Aos is a great idea. The rules for Struggle probably need a clean-up as well with a fast play rules summary/ play example sheet (where a couple of turns are played out) would be a great addition. The game is fabulous, but the learning curve is steep.
BTW - had lots of fun, I finished second by a nose (only because my main competitor convinced his ally to attack me ruthlessly (mindlessly) - despite the fact that this would ensure a last place finish for him rather than a second place finish). A bit of king-making. J
Cheers, GLENN

Hi Martin,
I think that I would like to buy Struggle of Empires as a part of our deal. How many were in the original print-run? Do you have any re-prints currently planned?
Cheers,
Glenn
Hi Glenn,
No problem about selling Struggle to you. We printed 3000 copies and no re-print has been planned. All 3000 copies are in the distribution system, there are none left at Ludofact.
It actually helps Warfrog not to do re-prints - they can backfire if you fail to assess demand properly. Age of Steam was only re-printed because our distributors placed firm orders for 2000 copies, making it risk free. Re-printing Struggle under the Eagle label would mean the quality of production would be much higher than that that Warfrog could achieve, which has to be a good thing.
Best
Martin

Subject: AoS update
Hi Glenn,
Have had a chance to play the latest development of Age of Steam. So far it seems to work very well. As I told you before I have streamlined the game to make it simpler. It does not hurt your head in the same way as the original AoS, which makes it much more suitable for inexperienced gamers. Personally I don't think it is that much more complicated in terms of rules than Ticket to Ride. However, it still has much deeper game play as you still have to work out the best routes to develop. One of the playtesters is familiar with Railway Tycoon and remarked that a number of features this game match those in the computer game - except for playing time!
Have been busy trying to beat the next Warfrog game into shape so have not had time to work on the ancient empire thing. However, will hopefully get down to it over Xmas.
Are you going to Nuremberg for the toy fair? If so then I can show you the AoS prototype there. Otherwise I can put it in the post.
How long do you think it will be before the contract can be sorted out between us?
Hope business is good and look forward to hearing from you soon.
Best wishes
Martin

Hi Martin,
I would love to play the Age of Steam game as soon as possible. It sounds terrific! Could you put it in the post?
I will be at Nuernberg.
Our attorney is working on several contracts simultaneously (including yours), and should be done soon.
Hope you have a great Christmas.
Cheers,
Glenn

Subject: Re: Rail Tycoon rules
Hi Glenn,
I think you realise the important factor for me in this deal was the large upfront payment. Is that still on or are you suggesting paying for each game individually? I can see how we can do each deal separately and then the amounts involved are subtracted from the upfront payment - is this still doable?
1) If we were to buy all rights to SOE, what would the number be?
Do you mean how many units or how much it would cost? If you mean cost then I would've thought a standard designer's royalty would be in order.
2) How many have you printed and sold of SOE? Have you recently re-printed?
Just under 3000 were printed. 1000 have been shipped to the US, just arrived from what I have heard. 1000 have been sold to Uwe Valentin, and the rest have gone, either at Essen, or smaller separate sales. There is zero stock in the warehouse and none have been re-printed. We have no plans to do a re-print while you are interested in taking the game.
3) How should we structure the AOS contract? What would the split be like between you and John? Who would the deal be with?
The royalties for AoS should be split 50/50 between myself and John. John is the best person to deal with regarding the contract details. The game would be licencensed from Winsome.
Have you thought on a meeting time for Nuremberg?
Best wishes
Martin

HI Martin,
Yes. We can do that. I’m thinking that buying the rights outright is the best way because it aligns with your need to have fast cash better than a royalty payment. It’s also one less thin g that we need to track.
Cheers,
Glenn

Hi Glenn,
To be honest I have never sold the rights to a game outright. As a designer you are wary about doing so as if a game does well then you are losing out on royalties. Assessing the worth of a game is very difficult - both of us would want to fix a price so that neither party is losing out. The other problem is that the rights to AoS are held by John, who might be less willing to sell them outright. On the other hand one could argue that we are selling the rights to a game system to fit Railway Tycoon. The rules are very different from those in AoS and its forbears.
I do see your point that it is a simpler arrangement than royalties. It is also true that the sooner I get the money the better.
So, without making any hard and fast deals:
a) would £20,000 be a reasonable amount to buy outright the rights to SoE and my half of AoS?
b) what extra amount would be necessary to buy John's half of AoS?
c) if the amount is too much what deal could we do on a future design to make sure you do not lose money on the deal?
Can you send me your telephone number. I think it might be easier to discuss these matters on the phone to save time.
Thanks
Martin

Hi Glenn,
Nice to talk to you this evening. As far as I know the details are as follows:
For the purchase of the rights to Struggle of Empires you will pay £10,000.
For the purchase of the rights to the rules and mechanisms in Railroad Tycoon you will pay £10,000. In addition an amount will be paid for each map expansion. I think a reasonable amount would be £2000 - makes a nice round figure.
As part payment towards the rights of as an unyet designed game you will pay £5000.
At this point in time £1500 has already been paid.
Payment to be made at the end of February.
I think that covers everything.
Best wishes Martin

Hi Glenn,
John is happy with the deal. The only stipulation that John has is that Winsome has a little red W on the back to show the game rights were purchased from them - even though you are actually buying them for me. This is pretty much an ego thing and allows John to illustrate the insidious spread of Winsome designs in the industry. Hopefully you will be able to oblige.
So, I will sell the rights to Railroad Tycoon on John's behalf and then pay him from what I receive - hope that is clear.
Best
Martin

Hi Glenn,
Trust you had a good NY toyshow. Saw the announcement about the SoE rules for Conquest and the release of Railway Tycoon. Are you also planning to produce your own version of SoE at some point?
Had another game of the Railway Tycoon game and there are still a few things that need balancing. The number of empty city markers needs tweaking, probably upwards. In our game the player who got into an early lead by staying in the east won easily. However, he had shipped everything he could, so another two turns would've seen other players catching up with him. Also want to change the rules about western links. the new rule will be that when a player links to a pink hex he can automatically upgrade the hex to a western link. This will be a powerful incentive to build to the west.
Still working on the idea about bonus cards. Will have to get back to you on that one.
Any idea when you will be able to make the final payment for the rights? As you can probably guess the sooner the better would suit me.
Best wishes
Martin

We are getting word from our banks this week about our new $XXX line of credit. If approved, it will become available next week.
Did you get the copy of the final agreement? Any changes?

Hi Martin,
Jack says that the attached copy is fine. If you agree, please print a copy, sign the signature page, and fax it to me at: (815) 577-8921.
Best Wishes,
Glenn
Note from Glenn Drover 7/26/09:
The “attached copy” referred to here is an attachment that is downloadable from the original of this email. It is an EXACT, word for word, duplicate of all 8 pages of the Agreement that is attached to the 7/20/09 Complaint that FRED filed against Martin Wallace, allowing only for the fact that pages 2 and 3, which are identical in both attachments, were not faxed back to the US by Martin on 3/7/05.

Hi Glenn,
Have signed agreement and asked friend to fax it to you - don't have fax myself. Let me know if you have rceived it. If there is any chance of the money being paid int my account this week that would be useful.
Thanks
Martin

Hi Glenn,
Hope you had a good Easter. It would be sueful to know which day you instructed your bank to forward funds to my account, so I can time how long it takes. If you have not done so yet it would help me if you did so today. I've got a games convention to attend at the end of the week and I've just found out my car needs major repair work doing on it, so cash would come in useful.
Thanks
Martin

Hi Martin,
We were funded with our new line of credit yesterday, so your payment will be processed tomorrow. Sorry for the delay, but banks are slow creatures. The payment will be 25,000 BP minus the $3,000 that was already sent. Hope this helps! J
Do you know when we will receive the new version of Railroad Tycoon will be arriving? We are trying to plan playtesting.
Cheers,
Glenn

Hi Glenn,
Just to let you know that the money arrived in my account yesterday - many thanks.
I'm planning on travelling to Gencon in Indianapolis this year, with two friends. I do have the option to stay at a friend's house but space is limited. I was thinking about spending one or two nights at a hotel in the city itself. Would you be in a position to be able to book accommodation for us - there would be myself and my girlfriend, so a double room would be fine, plus Geoff Brown, who would need a single.
One other matter - getting there! Would it be cheaper for you to book the flights from Manchester and pay in dollars and I then pay you back at the con? It's about £550 to fly from Manchester to Indy.
Thanks
Martin
